1.Acceptance of Terms & Corporate Entity Ownership

Welcome to FundedSignals. The FundedSignals platform, website (fundedsignals.app), developer APIs, directories, and data intelligence services (collectively, the "Service", "Platform", "we", "us", or "our") are owned, published, and operated exclusively by Ziglion Innovation LLC, a Florida corporation / limited liability company ("Ziglion Innovation LLC", "Company", "Operator").

Commercial Brand & Non-Entity Status: You acknowledge and agree that FundedSignals and fundedsignals.app are commercial trade names, web domains, and Software-as-a-Service (SaaS) products operated by Ziglion Innovation LLC and do not constitute an independent legal entity. All legal, contractual, financial, billing, data governance, and regulatory rights, duties, and obligations relating to the Service belong solely and exclusively to Ziglion Innovation LLC.

By accessing, browsing, registering for, subscribing to, or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accessing the Service on behalf of a company, fund, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms. If you do not agree to all terms and conditions herein, you must immediately cease all access and use of the Service.

2. Description of the Platform

FundedSignals operates as an informational directory, market velocity research hub, and programmatic aggregator compiling publicly accessible data on corporate venture funding, startup investment rounds, institutional investors, and related macro signals.

The Service is intended strictly for educational, informational, and general research purposes. We do not facilitate transactions, execute securities offerings, broker investor introductions, or hold customer funds.

3.SEC & Securities Law Exemption (Publisher's Exemption)

FundedSignals relies upon the Publisher's Exemption under Section 202(a)(11)(D) of the United States Investment Advisers Act of 1940 (and corresponding state securities acts and international provisions).

No Personalized Advice: All materials, metrics, sector velocity scores, disruption models, and daily/weekly/monthly alerts are completely impersonal, algorithmic, and disseminated to subscribers of general circulation. We never provide tailored or personalized investment advice to any specific individual or entity.
No Offer or Solicitation: No data point, valuation estimate, company profile, or signal represents an offering of securities, private placements, or a solicitation of capital under the Securities Act of 1933 or Securities Exchange Act of 1934.
Extreme Risk of Venture Capital & Early-Stage Investing: Private company investments involve substantial risk, including total loss of capital, illiquidity, and lack of public market disclosures. You are strictly advised to consult licensed, independent legal, financial, and tax advisers before making any financial commitment.

4. Artificial Intelligence (AI) Disclaimer & Accuracy

FundedSignals utilizes advanced Artificial Intelligence (AI), Machine Learning (ML) algorithms, and Large Language Models (LLMs)—including Google Gemini models—to aggregate unstructured text, synthesize company summaries, generate video storyboards, formulate market digests, and calculate predictive scenario projections.

AI Mistakes & Hallucinations:Generative AI models are inherently subject to limitations and may generate information that is inaccurate, outdated, misleading, incomplete, or entirely fictitious ("hallucinations").

Mandatory Independent Verification: You acknowledge and agree that you must independently verify all AI-generated reports, funding metrics, dates, amounts, investor rosters, and valuation estimates against official primary documentation (such as SEC EDGAR filings, official company press releases, and statutory records) before taking any action.

Data Sharing with AI Sub-Processors: In order to provide AI-powered analytics and search filters, query parameters and telemetry data may be processed through third-party AI infrastructure providers (including Google Cloud / Google Gemini API). You explicitly consent to this processing as detailed in our Privacy Policy.

5. Advertising Consent for Guests & Free Accounts

To support the free tier of the Service, FundedSignals serves third-party advertisements, promotional banners, and monetized interactive units (including vignette scripts, interstitial notices, and ad network placements) to guest visitors and Free Account holders.

Express Agreement to View Ads: By using the Platform as a guest or with a Free Account, you explicitly acknowledge, consent, and agree to the display of third-party advertisements.
Ad-Free Experience for PRO & TRIAL: Users with active PRO subscriptions or active TRIAL access are granted an ad-free browsing experience.
Third-Party Advertiser Disclaimer: FundedSignals does not control, endorse, investigate, or guarantee any goods, services, representations, or claims made in third-party advertisements. Any interaction, correspondence, or transaction with third-party advertisers is solely between you and the advertiser. We bear zero liability for damages or losses incurred as a result of third-party advertisements.

6. Acceptable Use & Anti-Scraping Restrictions

You agree not to engage in any prohibited activities, including but not limited to:

Deploying automated crawlers, scrapers, bots, spiders, or extraction scripts against the Service without our express written permission.
Attempting to reverse-engineer, decompile, or copy the proprietary code, aggregation pipelines, or disruption algorithms of the Platform.
Circumventing, tampering with, or bypassing any rate limits, authentication barriers, tier enforcements, or security controls.
Reselling, redistributing, or sub-licensing FundedSignals data feeds or API keys to third parties without an authorized Enterprise agreement.

7.Subscriptions, Billing & Strict Refund Policy

Certain advanced intelligence tiers (including PRO plans and API developer access) require paid subscription fees.

Billing Processing: All payments are securely processed through Stripe, Inc. By subscribing, you authorize continuous recurring billing according to your chosen billing cycle until cancelled.
Cancellations: You may cancel your subscription at any time via the Stripe Customer Portal in your Account Settings. Upon cancellation, your PRO privileges will remain active until the conclusion of your current paid billing period.
Strict "No Refunds" Policy: Except as expressly provided below, all payments, renewal charges, and subscription fees are strictly non-refundable and non-creditable. We do not provide prorated refunds, credits for partial billing periods, or refunds for unused services, lack of usage, or subscription dissatisfaction.
Sole Exception – Duplicate Charges & Stripe Gateway Errors: The only circumstance under which a refund may be granted is in the verified event of duplicate billing or technical payment gateway errors originating directly from Stripe, Inc.
- To request a review for duplicate billing, you must submit a written request with transaction receipts to [email protected] within thirty (30) calendar days of the charge date.
- No refund will be issued without prior formal acknowledgment, verification, and technical confirmation of the processing error by Stripe, Inc.

8.Service Availability, Outages & Disclaimer of Warranties ("AS-IS")

No Uptime Guarantee (No SLA): FundedSignals does not warrant, promise, or guarantee uninterrupted, continuous, error-free, or 100% available uptime. The Service is provided strictly on an "AS IS" and "AS AVAILABLE" basis.

Scheduled & Emergency Maintenance: We reserve the right to temporarily suspend, restrict, or modify access to any part of the Platform for routine maintenance, security patches, data migration, server updates, or emergency repairs without prior notice or liability.
Third-Party Dependencies & Upstream Outages: Our Service integrates and relies upon external third-party APIs, data feeds, and infrastructure providers—including Google Cloud, Google Gemini AI, Yahoo Finance, Stripe, and RSS publisher feeds. FundedSignals bears zero liability for delayed updates, temporary feature inoperability, missing company signals, or system latency caused by upstream third-party downtime, rate limits, or network failures.
Technical Issues Not Grounds for Breach or Refund: Temporary platform outages, feature recalibrations, API timeouts, or data synchronization delays do not constitute a breach of these Terms, nor do they entitle any user or subscriber to refunds, price reductions, billing credits, or compensation.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, FUNDEDSIGNALS, ITS OPERATORS, AFFILIATES, AND OWNERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, TIMELINESS, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUSES OR HARMFUL COMPONENTS.

9. Limitation of Liability & Total Hold-Harmless

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FUNDEDSIGNALS, ITS FOUNDERS, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF CAPITAL, INVESTMENT LOSSES, BUSINESS INTERRUPTION, OR REGULATORY LIABILITIES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE, OR ANY RELIANCE PLACED ON AI-GENERATED OR AGGREGATED CONTENT.

IN ALL CIRCUMSTANCES, THE MAXIMUM AGGREGATE LIABILITY OF FUNDEDSIGNALS AND ITS OWNERS FOR ANY AND ALL CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO FUNDEDSIGNALS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Ziglion Innovation LLC (operating as FundedSignals), its parent entities, subsidiaries, affiliates, managers, members, officers, directors, employees, contractors, developers, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, regulatory inquiries, SEC actions, or legal/attorney fees arising out of or related to:

Your violation of these Terms of Service or our Privacy Policy.
Your access to, use of, or reliance upon any data, metric, signal, AI analysis, or intelligence published on the Service.
Any financial decisions, startup investments, capital allocations, venture checks, or securities trades made by you or on your behalf.
Your infringement or violation of any third-party intellectual property, privacy, or statutory rights.

11.Governing Law, Jurisdiction & Dispute Resolution

These Terms, the Service, and any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be governed by, construed, and enforced exclusively in accordance with the laws of the State of Florida, United States, without giving effect to any principles of conflicts of law.

You and Ziglion Innovation LLC agree that any legal action, proceeding, or dispute arising out of or relating to these Terms or the Service shall be instituted exclusively in the state or federal courts located within the State of Florida, United States, and you irrevocably submit to the personal and exclusive jurisdiction and venue of such courts.
